I come to my current practice of law at the end of an interesting journey. After graduating Phi Beta Kappa from UC Berkeley, and receiving my J.D. from the UC Berkeley School of Law, I chose corporate law, concentrating in venture capital and mergers and acquisitions. I was drawn to the challenge of structuring complex contracts, the intensity of negotiating those agreements and the excitement of closing a deal. And I was trained by excellent practitioners, at the top of their game, at leading firms, including McDermott, Will & Emery, and Schulte, Roth & Zabel LLP. Did I learn a great deal? Check. Did I acquire a broad-based skill set in corporate law? Check. Yet, at the same time, the matters I worked on were so large, that I was left combing through thick financial agreements without ever a forming a meaningful client relationship. This type of practice stood in stark contrast to the idea of a well-rounded advisor that I had envisioned becoming when I began law school. The implosion of the financial markets in 2008, though unnerving, gave me an opportunity to reset my career. Instead of sticking with a large firm or company, I decided to chart my own course in private practice. This would allow me to focus on the kinds of clients and engagements that interested me most. One of my first choices was to focus on small to medium sized businesses. These representations enable me to truly engage with my clients, understand their issues, and act as a partner, advisor and advocate. Now, I currently act as outside general counsel to a number of businesses, from start-ups to established enterprises with numerous employees. I cherish these relationships, and feel honored that these companies have chosen me to be a part of their growth and success. I was also drawn to the construction sector. I now routinely represent contractors (general contractors and subs), supply vendors, engineers and owners of residential and modest commercial properties. Part of my practice involves drafting construction contracts and preventing disputes. Just as often, however, I am called upon after a property has been damaged or a contract has been breached. In these cases, litigation is almost always necessary. I do not shy away from court disputes or situations that require forceful advocacy, and when necessary I go to the mat for my clients. Another area in which I have enjoyed practicing is wage and hour cases. I first became involved in these kinds of cases when an old acquaintance approached me with a problem: he and all his co-workers had been stiffed on their pay by the owners of the restaurant they worked as waiters. I took their case on pro bono and convinced the owners to pay the workers all their unpaid wages. Unfortunately, their situation was not unique: There seems to be no end of owners or managers willing to systematically deprive workers out of their due compensation, precisely for the reason that these people often lack the means to fight back. I enjoy and have become all too familiar with the process of doing just that, often helping larger numbers of clients press their case for retroactive compensation. My practice is now both satisfying and diverse. When advantageous for my clients, I partner with a select group of attorneys with specific expertise in a particular niche if warranted by the facts of the case.

Since starting my executive compensation law firm in 1980, we have been retained by creators, producers, performers and managers for disputes involving virtually every aspect of the entertainment and media industries. We have also successfully represented businesses and individuals in jury trials involving employment contracts, employment discrimination, partnership and commercial conflicts, libel and business torts, and even serious product liability claims. HIGHER EDUCATION Our client was being pushed out as University President due to personality conflicts with the Chair of the Board of Trustees. Because the University had a complicated governance structure and our client had unique personal circumstances, it was crucial that we understood in detail the factual and legal aspects of the entire situation. Ultimately, the favorable severance and on-going compensation package we achieved for our client was the direct result of negotiations based upon our painstaking research. FINANCIAL SERVICES CASE STUDY Our law firm handled the termination of a senior finance executive entitled to leave his employment with substantial deferred compensation. Recognizing that the Company paying deferred compensation in a lump sum would trigger tax code penalty provisions, we hired an accountant to arrange the executive’s payout to avoid those penalty provisions, thus saving the executive several million dollars in taxes. MEDIA CASE STUDY The employment agreement of a top media executive allowed the executive to resign “for good reason” if the executive’s duties and responsibilities were materially changed or diminished, and thereby receive substantial severance payments which an ordinary resignation would forfeit. We persuasively argued that a new reporting structure imposed by the employer deprived the executive of operational autonomy which had been a key component of the original job. The executive was ultimately permitted to resign while receiving full severance benefits.

My great-uncle, the entertainer George Burns, always felt himself at a disadvantage in his business dealings because he lacked legal training, so he encouraged me to go to law school and become a lawyer. After my second year at Harvard Law School, my first professional experience was a summer clerkship at a large Los Angeles firm. Toward the end of that summer, the senior partner asked me what kind of a lawyer I wanted to be. I told him I wanted to become a deal-maker for individuals and businesses. He said, “Then I have one piece of advice. Start your career by doing litigation and handling as many commercial disputes as you can. The best way to learn how to negotiate and draft a good contract is to see what happens when those contracts are being fought over: you learn what each clause of a contract means when a judge interprets it, what works, what doesn’t work, what happens when a contract falls apart, and how to express in writing the details of a deal which may not be tested until years later. Arguing over the meaning of a contract is the best way to learn how to put together a contract which no one can argue about.” I took his advice. Following law school I went to a large New York law firm, where I was fortunate enough to become trial assistant to the legendary Louis Nizer, author of My Life in Court. Mr. Nizer was a wonderful role model for a young lawyer. He not only was an advocate of surpassing skill, but he insisted on meticulous preparation and attention to detail as the source of his legal accomplishments. He taught me that “inspiration” in front of a jury was the product of late nights in the library. Even more importantly, he was a lawyer who genuinely cared for his clients, and went to great lengths to determine what their best interests really were. On many occasions, I saw Mr. Nizer refuse to bring a lawsuit for which a client was not only willing but eager to pay because he felt that the client was acting out of anger or other powerful emotion and that the lawsuit would not benefit the client’s interests. Ethical, firm and decisive, Mr. Nizer was never less than fair and courteous. I don’t remember ever hearing him raise his voice, and it was this type of professionalism that I have tried to emulate in my law practice. The lawyer exists to achieve the best possible result for the client while serving the client’s “better self” by discouraging the client from doing anything self-destructive or short-sighted. When I started my own law firm in 1980, I continued to do litigation.
